15. Binding arbitration and class action waiver

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS AND LIMITS HOW YOU CAN SEEK RELIEF FROM US.

Any dispute, claim or controversy arising out of or relating to these Terms, the products, this site, or our advertising, whether based in contract, tort, statute, fraud or any other legal theory, shall be resolved by final and binding individual arbitration, administered by the American Arbitration Association under its Consumer Arbitration Rules then in effect, and not in a court of law, except that either party may bring an individual claim in small claims court.

YOU AND WE EACH WAIVE THE RIGHT TO A TRIAL BY JURY AND THE RIGHT TO PARTICIPATE IN ANY CLASS, COLLECTIVE, CONSOLIDATED, PRIVATE ATTORNEY GENERAL OR REPRESENTATIVE ACTION. The arbitrator may not consolidate the claims of more than one person and may not preside over any form of representative proceeding. If this waiver is found unenforceable as to a particular claim, that claim shall be severed and heard in court, while all remaining claims proceed in arbitration.

Arbitration shall take place in the county of your residence, or by video or telephone, at your election.

Right to opt out. You may opt out of this arbitration agreement by emailing support@novendo.shop with your name, order number and a clear statement that you opt out, within 30 days of your first order. Opting out affects no other part of these Terms.

16. Governing law and venue

These Terms and any dispute are governed by the laws of the State of Delaware, without regard to its conflict-of-law rules and excluding the United Nations Convention on Contracts for the International Sale of Goods. Where arbitration does not apply, the exclusive venue is the state and federal courts located in Delaware, and you consent to personal jurisdiction there.

17. Time limit on claims

Any claim must be filed within one (1) year after the claim arises, or it is permanently barred, to the fullest extent permitted by law.

18. Force majeure

We are not liable for any failure or delay in performance caused by events beyond our reasonable control, including carrier failure, supply chain disruption, customs action, labour disputes, natural events, epidemic, war, or governmental measures.

19. Electronic communications

You consent to receive communications from us electronically, and agree that all agreements, notices and disclosures provided electronically satisfy any legal requirement that they be in writing.

20. Assignment

You may not assign these Terms. We may assign them freely, including in connection with a sale of the business.

21. No third-party beneficiaries

These Terms confer no rights on any person other than you and us.

22. Severability and waiver

If any provision is found unenforceable, it shall be limited or severed to the minimum extent necessary and the remainder remains in full force. Our failure to enforce any provision is not a waiver of it.

23. Survival

Sections 10 through 22 survive termination of these Terms.

24. Entire agreement

These Terms, together with the Shipping Policy, the Return and Refund Policy and the Privacy Policy, constitute the entire agreement between you and us and supersede all prior communications.

25. Changes

We may revise these Terms at any time by posting an updated version. The version in effect at the time you place an order governs that order.
