Terms of service

General Terms and Conditions (T&Cs)

Version: October 2026

§ 1 Scope and contracting parties

(1) These General Terms and Conditions (hereinafter “T&Cs”) apply to all contracts concluded via the online shop at novendo.shop (hereinafter “Online Shop”) between

Novendo, proprietor Erik Berisha, Hermann-Flach-Straße 6, 18109 Rostock, Germany, email: support@novendo.shop

(hereinafter “Seller”)

and the customer (hereinafter “Buyer”).

(2) The version of these T&Cs valid at the time of the order is authoritative.

(3) Only these T&Cs apply. Deviating, conflicting or supplementary terms and conditions of the Buyer only become part of the contract if the Seller has expressly agreed to their validity in text form. This requirement also applies if the Seller performs without reservation in the knowledge of deviating terms of the Buyer.

(4) These T&Cs apply to consumers within the meaning of § 13 BGB and to traders within the meaning of § 14 BGB. Where individual provisions apply only to consumers or only to traders, this is expressly indicated in each case.

§ 2 Conclusion of the contract

(1) The presentation of the products in the Online Shop does not constitute a legally binding offer by the Seller, but a non-binding invitation to the Buyer to submit an offer to purchase (invitatio ad offerendum). All product information serves merely as a description and is not to be understood as a guarantee or assurance of specific characteristics unless expressly designated as such.

(2) By submitting an order via the Online Shop, the Buyer makes a binding offer to conclude a purchase contract. The Buyer is bound by this offer for a period of five (5) working days from its receipt by the Seller.

(3) The Seller confirms receipt of the order without undue delay by means of an automatic acknowledgement of receipt by email (order confirmation). This acknowledgement of receipt does not constitute acceptance of the offer, but merely serves to inform the Buyer that the order has been received by the Seller.

(4) The purchase contract is concluded as soon as the Seller accepts the Buyer’s offer. The time of acceptance depends on the payment method chosen by the Buyer:

  • For instant payment methods (e.g. PayPal, credit card, Apple Pay, Google Pay, Klarna Pay Now or comparable payment services): the purchase contract is concluded upon successful completion of the payment process. The initiation of the payment collection by the Seller constitutes acceptance of the Buyer’s offer.
  • For payment in advance (bank transfer): the purchase contract is concluded when an express order acceptance is sent by email or upon handover of the goods to the shipping service provider (shipping confirmation).
  • For purchase on account or payment by instalments (where offered): the purchase contract is concluded when the order acceptance is sent by email or upon handover of the goods to the shipping service provider.

(5) Avoidance in the event of pricing errors: If a price stated in the Online Shop is based on an obvious input, programming or printing error that was recognisable to a reasonable buyer, the Seller is entitled to avoid the purchase contract on grounds of mistake (§ 119 Abs. 1 BGB). The avoidance will be declared without undue delay after the error has become known. In this case, payments already made will be refunded to the Buyer in full without undue delay, at the latest within 14 days, using the same means of payment.

(6) Reservation of self-supply: The Seller reserves the right to rescind the contract if it has placed a matching order with its supplier (congruent covering transaction) and, despite having ordered properly, is not supplied or not supplied in time, without the Seller being responsible for this. In this case, the Seller will inform the Buyer of the unavailability without undue delay and refund payments already made in full without undue delay, at the latest within 14 days, using the same means of payment. Further claims of the Buyer due to unavailability are governed by the statutory provisions.

(7) The Seller is also entitled to reject an order or — if the contract has already been concluded — to rescind it if:

  • the Buyer has provided incorrect or incomplete order or payment details,
  • there is a justified suspicion of abusive orders or commercial resale (cf. § 8).

In these cases, payments already made will be refunded to the Buyer in full without undue delay, at the latest within 14 days, using the same means of payment.

§ 3 Prices, shipping costs, taxes and customs duties

(1) All prices stated in the Online Shop are final prices and include German statutory VAT pursuant to § 1 Abs. 1 PAngV. The prices do not include shipping costs; these are shown separately and clearly before the order is completed.

(2) The prices valid at the time of the order apply. Price changes after conclusion of the contract are excluded.

(3) Deliveries within Germany and the European Union: The stated final prices include all taxes and duties. The Buyer incurs no further costs unless they are shown as shipping costs.

(4) Deliveries to countries outside the European Union: For deliveries to third countries, further costs may be incurred in individual cases for which the Seller is not responsible and over whose amount the Seller has no influence. These include in particular:

  • import duties and import VAT in the country of destination,
  • customs clearance or customs storage fees,
  • other public charges, taxes or fees of the country of destination.

These costs are to be borne by the Buyer. The Buyer is asked to find out about the applicable import regulations from the competent customs authority of their country before placing the order.

(5) If, in the case of international shipments, a cash-on-delivery or post-clearance customs charge arises for which the Seller is not responsible, this is borne by the Buyer.

§ 4 Terms of payment

(1) The payment options stated during the ordering process are available to the Buyer. Any restrictions on individual payment methods will be communicated at the latest during the ordering process.

(2) Payment of the purchase price is due immediately upon conclusion of the contract, unless a later payment date has been agreed.

(3) If payment in advance has been agreed, payment is due immediately after conclusion of the contract. Delivery only takes place after full payment has been received.

(4) If the Buyer is in default of payment, the Seller is entitled to demand default interest at the statutory rate: for consumers, five percentage points above the base interest rate; for traders, nine percentage points above the base interest rate (§ 288 BGB). The right to claim further damage caused by default is reserved.

(5) The Buyer is only entitled to set-off if their counterclaims have been finally established by a court, are undisputed or have been acknowledged by the Seller. The same applies to the exercise of a right of retention, which the Buyer may only assert insofar as it is based on counterclaims arising from the same contractual relationship. The Buyer’s statutory rights in the event of defects (in particular § 437 Nr. 2 BGB) remain unaffected.

§ 5 Customer account

(1) Where the Online Shop offers the option of setting up a customer account, the Buyer is obliged to keep their access data (username and password) confidential and to protect it from access by unauthorised third parties.

(2) All actions carried out using the Buyer’s access data are deemed to have been initiated by the Buyer, unless the Buyer has previously informed the Seller of the misuse of their access data. Notification must be given without undue delay after becoming aware of the misuse.

(3) The Buyer is obliged to keep their stored data (in particular billing and delivery address) up to date.

(4) The Seller is entitled to block or delete customer accounts if there are specific indications that the account is being misused or that these T&Cs have been breached.

§ 6 Delivery, delivery times and shipping

(1) The expected delivery times are stated on the respective product page. Unless otherwise stated, they begin, for payment in advance, from the time full payment is received and, for all other payment methods, on the day after conclusion of the contract. If the last day of the delivery period falls on a Saturday, Sunday or a public holiday officially recognised at the place of delivery, it is replaced by the next working day.

(2) The stated delivery times are expected delivery times and not guaranteed delivery dates, unless a fixed delivery date has, by way of exception, been expressly promised in text form.

(3) Goods are shipped to the delivery address provided by the Buyer during the ordering process. Unless otherwise agreed, the shipping service provider and the shipping route are selected at the Seller’s reasonable discretion.

(4) Partial deliveries are permitted insofar as they are reasonable for the Buyer and do not result in additional shipping costs for the Buyer, unless the Buyer has previously agreed to the partial delivery and any additional costs.

(5) For consumers, the risk of accidental loss and accidental deterioration of the goods passes upon handover of the goods to the Buyer. In relation to traders, the risk passes to the Buyer as soon as the goods are handed over to the shipping service provider (§ 447 BGB).

(6) If delivery fails for a reason for which the Buyer is responsible (e.g. incorrect or incomplete delivery address, failure to collect from the post office or parcel shop despite notification, refusal to accept), the Buyer bears the costs of re-shipping and any storage costs.

(7) In the event of delivery delays, the Seller is entitled to inform the Buyer at an early stage and to notify a reasonable new expected delivery period. The Buyer’s statutory rights of rescission after a reasonable grace period has expired without success (§ 323 BGB) remain unaffected.

§ 7 Force majeure and exceptional circumstances

(1) The Seller is not liable for delays in performance or non-performance insofar as these are due to circumstances for which the Seller is not responsible and which are beyond its control (force majeure).

(2) Force majeure includes in particular, but not exclusively:

  • natural disasters, epidemics, pandemics,
  • official orders, embargoes, sanctions, import and export restrictions,
  • wars, acts of terrorism, uprisings, civil unrest,
  • strikes, lockouts (including at third-party companies and suppliers),
  • interruptions to international transport routes, closures of shipping routes, port closures,
  • delays in customs clearance that the Seller cannot influence,
  • significant operational disruptions at the Seller or its suppliers that are not due to a breach of duty by the Seller,
  • failure of essential IT infrastructure (e.g. cyber attacks, server failures at third-party providers),
  • energy supply crises, shortages of raw materials.

(3) For the duration of the force majeure and a reasonable start-up period thereafter, the Seller is released from its obligation to perform. The Seller will inform the Buyer without undue delay of the occurrence and the expected duration of the disruption.

(4) If the disruption to performance due to force majeure lasts longer than 60 days, both contracting parties are entitled to rescind the contract. In this case, payments already made will be refunded in full without undue delay, at the latest within 14 days of the declaration of rescission, using the same means of payment.

(5) The Buyer’s statutory rights of rescission, in particular after a reasonable grace period has expired without success pursuant to § 323 BGB, remain unaffected by the provisions of this section.

§ 8 Order quantities and resale reservation

(1) The Seller offers its products exclusively in normal household quantities for sale to end customers.

(2) The Seller reserves the right to limit order quantities to normal household quantities. The Seller may reject, in whole or in part, orders that obviously exceed a normal household quantity. In this case, the Seller will inform the Buyer without undue delay and refund payments already made for the rejected part.

(3) This applies in particular if there are specific indications that the order is placed wholly or predominantly for the purpose of commercial resale.

§ 9 Product presentations and minor deviations

(1) The product images shown in the Online Shop (photos, graphics, videos) are for illustration purposes and may show the product with slight deviations in colour, size, surface texture or packaging. The respective product description in text form is decisive for the characteristics of the goods.

(2) Minor and reasonable deviations customary in the industry in colour, dimensions, weight, design or packaging do not constitute a material defect, provided that the usability and the essential product characteristics are not impaired. This applies in particular to:

  • colour deviations due to technical or manufacturing reasons,
  • minor deviations in dimensions and weight within customary commercial tolerances,
  • changes to the packaging design by the manufacturer.

(3) This provision does not restrict the Buyer’s statutory warranty rights for defects.

§ 10 Retention of title

(1) The goods delivered remain the property of the Seller until all claims arising from the purchase contract have been paid in full.

(2) The Buyer is obliged to treat the goods with care for the duration of the retention of title. In particular, the Buyer is obliged to insure the goods adequately at their own expense against theft, fire and water damage at replacement value, insofar as this is economically reasonable.

(3) In relation to traders, the following also applies: in the event of conduct by the Buyer in breach of contract — in particular default of payment — the Seller is entitled to demand the return of the purchased item. Demanding its return does not constitute rescission of the contract unless the Seller expressly declares this.

§ 11 Right of withdrawal

(1) Consumers have a statutory right of withdrawal. The details of the right of withdrawal, in particular the conditions, deadlines and procedure for exercising the right of withdrawal as well as the model withdrawal form, are set out in the Seller’s separate instructions on withdrawal and returns policy, which are made available to the Buyer in text form before conclusion of the contract and can be accessed at any time at https://novendo.shop/en-ie/policies/refund-policy.

(2) The right of withdrawal does not apply in the cases listed in § 312g Abs. 2 BGB. These include, among others:

  • goods that are made to the customer’s specifications or are clearly tailored to personal needs (§ 312g Abs. 2 Nr. 1 BGB),
  • sealed goods that are not suitable for return for reasons of health protection or hygiene if their seal has been removed after delivery (§ 312g Abs. 2 Nr. 3 BGB),
  • goods that, after delivery, have been inseparably mixed with other items due to their nature (§ 312g Abs. 2 Nr. 4 BGB),
  • sealed audio or video recordings or sealed computer software if the seal has been removed after delivery (§ 312g Abs. 2 Nr. 6 BGB),
  • goods that are liable to deteriorate rapidly or whose expiry date could be quickly exceeded (§ 312g Abs. 2 Nr. 2 BGB).

(3) The Seller will expressly and clearly indicate on the respective product page, and at the latest during the ordering process, if the right of withdrawal is excluded or restricted for a particular product.

(4) Traders within the meaning of § 14 BGB have no right of withdrawal.

§ 12 Warranty and claims for defects

(1) The statutory warranty rights for defects pursuant to §§ 434 ff. BGB apply.

(2) Warranty periods:

  • For new goods, the warranty period for consumers is two years from handover of the goods (§ 438 Abs. 1 Nr. 3 BGB).
  • For used goods, the warranty period for consumers — provided that the used condition was expressly and clearly pointed out at the time of purchase — is one year from handover (§ 476 Abs. 2 BGB).
  • For traders, the warranty period is one year from handover.

(3) Notification of defects and subsequent performance: In the event of a defect, the Seller initially has the right to subsequent performance (§ 439 BGB). Subsequent performance takes place, at the Buyer’s choice, by remedying the defect (repair) or by delivering a replacement. The Seller may refuse the type of subsequent performance chosen by the Buyer if it is only possible at disproportionate cost and the other type of subsequent performance is possible without significant disadvantages for the Buyer (§ 439 Abs. 4 BGB).

(4) To ensure efficient and fast processing of claims for defects, the Buyer is asked to contact the Seller’s customer service before returning any goods:

Email: support@novendo.shop

To speed up processing, the Buyer is asked to send the Seller a description of the defect and — where possible and reasonable — photos or screenshots of the defect complained of. This enables a faster initial assessment and, where appropriate, an immediate replacement delivery without the Buyer first having to return the goods.

Clarification: Contacting us in advance and sending photos are not a prerequisite for asserting statutory warranty rights, but a non-binding request to speed up the procedure in the interest of both parties.

(5) If subsequent performance fails (in particular after an unsuccessful second attempt) or is unreasonable for the Buyer, or if the Seller finally refuses subsequent performance or does not carry it out within a reasonable period, the Buyer is entitled to the further statutory rights (reduction of the purchase price, rescission of the contract, damages).

(6) No defect: Natural wear and tear, damage caused by improper handling, failure to observe the operating instructions or care instructions, excessive use, unsuitable operating materials, improper installation or assembly by the Buyer or third parties, unsuitable ground or installation location, and chemical, electrochemical or electrical influences do not constitute a material defect — unless the Seller is responsible for them.

(7) Manufacturer’s guarantees: Where a manufacturer’s guarantee exists for certain products, this is a voluntary service provided by the respective manufacturer. The details are set out in the manufacturer’s guarantee conditions. The Buyer’s statutory warranty rights for defects against the Seller are neither restricted nor extended by a manufacturer’s guarantee.

(8) Additionally for traders: A Buyer who is a trader must inspect the goods without undue delay after delivery and give notice of recognisable defects in text form without undue delay, at the latest within seven (7) working days of delivery. Hidden defects must be notified without undue delay after discovery. If timely notification is not given, the goods are deemed to have been approved (§ 377 HGB).

§ 13 Limitation of liability

(1) The Seller is liable without limitation:

  • in the event of intent and gross negligence,
  • for injury to life, body and health,
  • under the provisions of the Product Liability Act (ProdHaftG),
  • within the scope of a guarantee expressly assumed by the Seller,
  • under other mandatory statutory liability provisions.

(2) In the event of a negligent breach of essential contractual obligations (so-called cardinal obligations — obligations whose fulfilment makes the proper performance of the contract possible in the first place and on whose compliance the Buyer may regularly rely), the Seller’s liability for slight negligence is limited in amount to the damage that is typical for the contract and foreseeable at the time the contract was concluded.

(3) Otherwise, the Seller’s liability for damage caused by slight negligence is excluded. This applies in particular to indirect damage, consequential damage, loss of profit and loss of data, insofar as these are not covered by paragraph (1) or paragraph (2).

(4) The above limitation of liability also applies to the personal liability of the Seller’s legal representatives, employees, staff, agents and vicarious agents.

(5) The above provisions do not involve any change in the burden of proof to the detriment of the Buyer.

§ 14 Vouchers and discount promotions

(1) Promotional vouchers (vouchers issued free of charge as part of promotional campaigns and not purchased by the Buyer) are subject to the following conditions, unless otherwise stated on the voucher:

  • They are only valid for the period stated on the voucher.
  • They can only be redeemed once per order and per household.
  • They cannot be combined with other promotional vouchers unless the Seller expressly permits this.
  • They are not transferable to third parties.
  • Only one promotional voucher can be redeemed per order.

(2) Promotional vouchers cannot be redeemed for cash and do not bear interest.

(3) If an order for which a promotional voucher was redeemed is withdrawn from or returned in whole or in part, and the remaining order value falls below the minimum order value of the voucher or the order is cancelled entirely, the benefit granted by the voucher lapses for the returned items. The Seller is entitled to withhold the proportionate voucher value for returned goods from the refund amount.

(4) The voucher must be entered during the ordering process before the order is submitted. It cannot be applied retrospectively.

(5) A minimum order value may be set for individual promotional vouchers and will be shown on the respective voucher.

(6) Gift vouchers (vouchers purchased by the Buyer) can be redeemed within the statutory limitation periods (§ 195 BGB: three years). Gift vouchers can be paid out in cash on request (remaining balance). Gift vouchers are transferable.

§ 15 Copyright and intellectual property

(1) All content of the Online Shop — in particular texts, product descriptions, photographs, graphics, logos, videos, layouts and databases — is protected by copyright and is the property of the Seller or its licensors.

(2) Any reproduction, distribution, editing, translation, storage in electronic systems or other use — including in part — requires the prior written consent of the Seller. This applies in particular to the use of product photos and descriptions for one’s own sales offers on third-party platforms.

(3) The use of content of the Online Shop in cases permitted by law (e.g. quotation pursuant to § 51 UrhG) remains unaffected.

§ 16 Contract language, storage of the contract text and correction options

(1) The contract language is German.

(2) The contract text is not stored by the Seller and can no longer be accessed via the Online Shop after the order has been completed. However, the Buyer can save the contract text (order data, T&Cs, instructions on withdrawal) immediately after submitting the order using the print function of their browser. The order confirmation is sent to the Buyer by email; the Buyer is advised to keep this email.

(3) Before submitting the order, the Buyer can correct their entries using the usual keyboard and mouse functions. The individual technical steps leading to the conclusion of the contract are shown to the Buyer during the ordering process.

§ 17 Data protection

Information on the collection, processing and use of personal data can be found in the Seller’s Privacy Policy, which can be accessed at any time at https://novendo.shop/en-ie/policies/privacy-policy.

§ 18 Dispute resolution

(1) Pursuant to § 36 Abs. 1 Nr. 1 VSBG, the Seller is obliged to inform consumers that it is neither willing nor obliged to participate in dispute resolution proceedings before a consumer arbitration board.

§ 19 Applicable law and place of jurisdiction

(1) The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).

(2) For consumers whose habitual residence is in a member state of the European Union, the choice of law under paragraph (1) only applies insofar as mandatory consumer protection provisions of the consumer’s state of residence do not grant more extensive protection (Art. 6(2) of the Rome I Regulation). This provision does not affect the consumer’s rights under the Rome I Regulation.

(3) Place of jurisdiction for traders: If the Buyer is a merchant, a legal entity under public law or a special fund under public law, the exclusive place of jurisdiction for all disputes arising from or in connection with this contract is the Seller’s registered office. The Seller is also entitled to sue the Buyer at the Buyer’s general place of jurisdiction.

(4) Place of jurisdiction for consumers: For consumers, the statutory place of jurisdiction applies.

§ 20 Changes to the T&Cs

(1) The Seller reserves the right to amend these T&Cs at any time with effect for the future. The amended T&Cs apply exclusively to orders placed after the time of the amendment.

(2) For contracts already concluded, the T&Cs valid at the time of the respective order apply.

§ 21 Severability clause

(1) Should any provision of these T&Cs be or become invalid or unenforceable, the validity of the remaining provisions remains unaffected.

(2) The invalid or unenforceable provision is replaced by the relevant statutory provision.

These T&Cs were last updated in July 2026
